Terms of Service

01Acceptance and applicability

By utilizing JAPA Smart Parking Solutions ("Services"), the Client expressly agrees to abide by the terms and conditions set forth herein.

02Description of services

JAPA provides proprietary occupancy sensors and related software solutions to deliver real-time parking occupancy data. Our services explicitly exclude personal data, commuter identification, or license plate information.

03Client obligations

Clients agree to:

• Ensure lawful, ethical use of occupancy data.
• Maintain compliance with applicable local, state, and federal regulations.
• Facilitate access required by JAPA for installation and maintenance purposes.

04Restrictions on use

Clients shall not:

• Attempt to reverse-engineer or replicate JAPA's proprietary technologies.
• Utilize occupancy data for unauthorized or unethical purposes.

05Intellectual property rights

All proprietary rights related to JAPA's sensors, software, and methodologies remain exclusively vested in JAPA, Inc. The client receives usage rights only as explicitly defined by contractual agreements.

06Payment terms

Payment terms shall be detailed separately within the executed client-specific agreements. Standard payment terms are Net-30 unless otherwise specified.

07Liability limitations

JAPA's aggregate liability, under any circumstances, shall be strictly limited to fees paid by the client within the preceding twelve months.

08Termination and renewal

Both parties retain the right to terminate services upon 30 days written notice. Obligations accrued before termination survive the end of the agreement.

09Governing law

These terms shall be governed by the laws of the State of California without regard to conflicts of law principles.
